Profile :
Mr. Applbaum began his legal career at Zampi & Associates, a mid-size civil litigation firm in San Diego, California. Mr. Applbaum successfully represented both plaintiffs and defendants in a wide variety of cases, including matters involving age, race, and sexual discrimination, public and private sector employment disputes, unlawful detainer proceedings, real estate, partnership disputes, personal injury, wrongful termination and constructive discharge, copyright infringement, breach of contract, invasion of privacy, construction defect, and family law.

Profile :
Mr. Zouvas’s practice focuses primarily in the corporate, securities and real estate transactional areas. He has worked on various mergers and acquisitions, advised public companies on securities law issues, advised private companies on general corporate governance matters and engaged in the pro bono representation of small business owners.
Mr. Zouvas has represented issuers and underwriters in initial public offerings and secondary offerings of securities under the Securities Act of 1933. He also regularly counsels issuers in connection with the preparation of and filing with the Securities and Exchange Commission of periodic reports under the Securities Exchange Act of 1934.
He has a mastery of securities law compliance, having prepared proxy statements, periodic reporting documents, private placement documentation and registration statements, among others. He also has counseled numerous entrepreneurs and early stage companies.
Mr. Zouvas has counseled issuers, private equity funds, and placement agents in private equity and debt transactions. He also has advised placement agents and issuers with respect to offerings of securities pursuant to Regulation S and Rule 144A under the Securities Act.
Mr. Zouvas’s real estate background consists of construction contract negotiation, preparation and enforcement, real estate lending and alternative financing transactions (users and lenders), ownership entity formations, syndications, operations and dissolutions, and real estate broker regulations and agreements.
